1. Acceptance of Terms

By accessing or using IdeaSpark, you agree to be bound by these Terms of Service. If you do not agree, do not use the service.

2. Eligibility and Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

3. Your Content

You retain ownership of content you create or upload, including notes, chats, source materials, prompts, and related outputs. You grant IdeaSpark a limited license to host, copy, transmit, process, and display that content solely to operate, secure, support, and improve the service. You represent that you have all rights, permissions, and lawful bases needed to submit that content and to authorize us and our service providers to process it. You are responsible for your content, for the consequences of submitting it, and for maintaining any backups you need.

4. Acceptable Use

You agree not to misuse the platform, including attempting unauthorized access, disrupting service operations, submitting unlawful, infringing, or harmful content, or using the service in a way that violates another person's rights, privacy, or confidentiality obligations. You must not submit information you are not authorized to disclose, including regulated, confidential, or highly sensitive personal information, unless you have all required rights, notices, and consents.

5. AI Features, Providers, and Output

When you use IdeaSpark AI features, relevant notes, chats, prompts, source materials, and other request content may be sent to third-party AI providers to process your request and return outputs. AI outputs are probabilistic and may be incomplete, inaccurate, misleading, or inappropriate. You must review outputs carefully, do your own due diligence, and use human judgment before relying on or sharing them. IdeaSpark is not a substitute for legal, medical, financial, tax, compliance, security, or other professional advice, and you must not rely on AI output as your sole source of truth for high-stakes decisions. If you do not want certain information processed through AI workflows, do not include it in notes, chats, or prompts used with those features.

6. Sparks, Subscriptions, and Billing

Paid features may require a subscription or usage-based credits ("Sparks"). Sparks are a limited usage allowance for IdeaSpark AI features. Unless we expressly state otherwise in writing, Sparks reset each monthly billing cycle, do not roll over into future months, are not transferable, are not redeemable for cash, and have no cash value. Unused Sparks are forfeited at the end of the applicable period. Purchases, subscriptions, and Sparks are non-refundable except where required by law. Billing terms, renewal terms, cancellation rules, and plan details are presented during checkout and in your account billing portal.

7. Service Changes

We may modify, suspend, or discontinue features, providers, pricing, Spark allocations, or service functionality from time to time. We may also impose or update usage limits and eligibility requirements. We are not responsible for losses caused by your failure to keep copies of your content or exports you want to retain.

8. Termination

We may suspend or terminate access for violation of these Terms, suspected misuse, non-payment, legal compliance reasons, or protection of the service or other users. You may stop using the service at any time.

9. Disclaimer of Warranties

IdeaSpark is provided "as is" and "as available" without warranties of any kind, to the fullest extent permitted by law. We do not warrant that the service will be uninterrupted, error-free, secure, or that any AI output or other content will be accurate, reliable, complete, or fit for a particular purpose.

10. Limitation of Liability

To the fullest extent permitted by law, IdeaSpark and its affiliates are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, data, goodwill, or business opportunities arising from use of the service, AI outputs, or third-party provider behavior. Our aggregate liability for claims relating to the service will not exceed the amount you paid us for the service during the 12 months before the event giving rise to the claim, to the extent permitted by law.

11. Changes to Terms

We may update these Terms from time to time. Continued use after updates means you accept the revised Terms.
